1. Definitions

• • "Agreement" — these Terms and Conditions, together with any specific programme agreement
• • "Content" — all materials, programme content, and documentation produced by Kampong Sync

2. Acceptance of Terms

By using our website or entering into a programme engagement with us, you confirm that you are at least 18 years of age, that you have the legal capacity to enter this Agreement, and that you agree to these Terms. Use of our website constitutes acceptance. For programme engagements, acceptance occurs at the time of written confirmation from both parties.

3. Service Description

Kampong Sync provides AI integration training and deployment consultation services to business organisations in Singapore, including:

• • Departmental AI Skills Development
• • End-to-End AI Deployment Partnerships

Service availability is subject to capacity. We primarily serve organisations based in Singapore. Geographic restrictions may apply to remote delivery components. We reserve the right to decline any engagement at our discretion.

4. User Responsibilities

When using our website and engaging our services, you agree to:

• • Use our website lawfully and not for any prohibited or harmful purpose
• • Not attempt to disrupt, access, or compromise our website or systems
• • Not reproduce, distribute, or commercially exploit any Kampong Sync content without written permission

5. Intellectual Property

All website content, programme materials, methodologies, and documentation produced by Kampong Sync remain our exclusive intellectual property. Upon completion of a paid programme, clients receive a limited, non-exclusive, non-transferable licence to use the materials delivered to them internally within their organisation. Materials may not be resold, sublicensed, or used for third-party training without our prior written consent.

6. Payment Terms

Programme fees are quoted in Singapore Dollars (SGD) and confirmed in writing prior to engagement commencement. Standard payment terms are as follows:

• • A 50% deposit is required to confirm programme commencement
• • The balance is due upon programme completion or at an agreed milestone
• • Accepted payment methods: bank transfer, PayNow, corporate cheque

Cancellation and Refunds

Cancellations made more than 10 business days prior to commencement are eligible for a full deposit refund. Cancellations within 10 business days of commencement are subject to a cancellation fee of 25% of the total programme value. Once a programme has commenced, fees for completed sessions are non-refundable.

7. Service Delivery Terms

Programme scope, timeline, and deliverables are confirmed in a written programme agreement prior to commencement. Any changes to agreed scope require written consent from both parties. We are not liable for delays caused by the client's unavailability, late provision of required materials, or circumstances outside our reasonable control.

8. Disclaimers

Our services are provided in good faith and to a professional standard. However:

• • We do not represent that AI tools or deployments we assist with will produce specific business outcomes
• • Our website and content are provided "as is" without warranties of any kind
• • Training outcomes depend significantly on participant engagement and organisational factors outside our control
• • Nothing in our materials constitutes legal, financial, or regulatory advice

9. Limitation of Liability

To the maximum extent permitted under Singapore law, Kampong Sync's total liability to you for any claim arising from our services or website shall not exceed the total fees paid by you in the twelve months preceding the claim. We are not liable for indirect, consequential, or special damages, loss of business opportunity, or data loss. These limitations do not apply to liability for fraud, death, or personal injury caused by our negligence.

10. Indemnification

You agree to indemnify and hold harmless Kampong Sync, its directors, and staff from any claims, losses, or expenses arising from your misuse of our services or website, breach of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate a programme engagement with written notice if the other party materially breaches this Agreement and fails to remedy the breach within 14 days of notice. We may also terminate if payment obligations are not met. Upon termination, all licences granted under these Terms cease, though payment obligations for work completed remain in force.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore. In the event of a dispute, both parties agree to first attempt informal resolution through good-faith discussion. If unresolved within 30 days, disputes shall be referred to mediation under the Singapore Mediation Centre before any legal proceedings. The courts of Singapore shall have exclusive jurisdiction over any matters not resolved by mediation.

13. General Provisions

These Terms, together with any programme-specific agreement, constitute the entire agreement between us. If any provision is found to be unenforceable, the remaining provisions continue in full force. Our failure to enforce any provision is not a waiver of the right to enforce it in future. You may not assign your obligations under these Terms without our written consent.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via a notice on our website at least 14 days before taking effect. Continued use of our website after that date constitutes acceptance. For ongoing programme engagements, updated Terms apply only upon renewal or new agreement.
